Terms of Service

These terms are the agreement between you and Expanse Compute Inc. ("Expanse", "we", "us") for use of expanse.sh, the Expanse Console, the daemon, the CLI, and the rest of the Expanse product (together, the "Service"). By using the Service you agree to them. If you're agreeing on behalf of a company, you confirm you're allowed to bind it.

If you run an enterprise pilot or sign a separate written agreement with us, that agreement and its data processing terms govern your use and take precedence over these terms where they differ.

1. Who can use Expanse

You need to be at least 18 and able to enter a contract. The Service is built for organisations running compute workloads, not for consumers. Keep your login credentials and API keys secret. You're responsible for what happens under your account and your organisation's accounts.

2. What the Service does

Expanse captures evidence about how your workloads run and turns it into resource-sizing, failure-diagnosis, and optimisation answers. Account and identity are hosted by us; your workload data and the analysis over it run on our infrastructure for the hosted service, or inside your own network if you self-host. The daemon observes your workloads read-only and does not change your jobs, code, data, model weights, or scheduler configuration during normal operation.

The Service is under active development, and Expanse is SOC 2 Type II compliant. Features may change, and some are provided on a pilot or preview basis.

3. Acceptable use

Don't use the Service to:

• break the law, or infringe someone else's rights;
• access accounts, data, or systems you're not authorised to;
• probe, scan, or stress the Service except where we've agreed security testing in writing;
• reverse engineer, resell, or sublicense the Service beyond what your plan allows;
• upload malware, or content you don't have the right to share;
• interfere with the Service or use it to build a competing product from our non-public internals.

4. Your data and content

Your code, workloads, telemetry, and the evidence we capture from them ("Your Content") stay yours. You grant us the licence we need to host, process, and analyse Your Content so we can provide the Service and generate your answers, including sending the relevant context to a model provider when you run analyse or diagnose. Our privacy policy explains exactly what we capture, where it lives, who processes it, and how the SaaS and self-hosted deployments differ. In a self-hosted deployment, Your Content stays in your infrastructure and does not flow through our control plane.

You're responsible for keeping secrets (API keys, passwords, tokens) out of the source and manifests we capture. We respect .gitignore and skip common credential files, but we don't promise to detect every secret. You confirm you have the right to share Your Content with us and the model providers we use.

5. Third-party services

The Service relies on third parties such as a cloud hosting provider, Stripe (billing), and a model provider such as OpenAI or Anthropic. Their handling of data is covered by their own terms. In a self-hosted deployment you can point analyse and diagnose at your own model endpoint instead. We list our sub-processors in the privacy policy.

6. Fees and billing

Paid plans are billed per cluster as a recurring subscription (monthly or annual) through Stripe, in the currency shown at checkout. Fees are exclusive of taxes, which you're responsible for. Subscriptions renew automatically for the same period until you cancel; cancelling stops the next renewal and doesn't refund the current period unless the law requires it or we agree otherwise. We may change pricing on renewal with reasonable notice.

7. Intellectual property

We own the Service, including the software, the models we train, and the Expanse name and brand. You own Your Content. The answers the Service produces for you are yours to use for your own operations. If you send us feedback, we can use it to improve the Service without obligation to you.

8. Warranties and disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, to the extent the law allows. Expanse's answers are estimates and recommendations to inform your decisions, not guarantees. You're responsible for what you do with them. We don't warrant that the Service will be uninterrupted, error-free, or fit for a particular purpose.

9. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, or consequential losses, or for lost profits, revenue, or data. Our total liability for any claim relating to the Service is capped at the fees you paid us in the 12 months before the claim. Nothing in these terms limits liability that can't be limited by law.

10. Term and termination

You can stop using the Service at any time. We may suspend or end your access if you break these terms, don't pay, or put the Service or other users at risk. On termination, your right to use the Service ends. You can ask us to return or delete Your Content as set out in the privacy policy; some records may be kept where the law requires.

11. Changes

We may update these terms as the Service evolves. We'll change the "Last updated" date at the top and, for material changes, give reasonable notice. Continuing to use the Service after a change means you accept the new terms.

12. Governing law

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. Enterprise agreements may specify a different governing law and venue.
